Renewing your business license is essentially extending your company’s registration, as a valid license is essential to maintain your company’s legal status and right to operate. Licenses are typically issued for one or two-year periods, which allows government authorities to regularly review companies for compliance and update their information.
The government fee for a trade license varies depending on several factors, including the type of business activity, the emirate, the number of partners, and even the specific location of the company’s office.
According to Article 8 of the Cabinet Resolution, legal entities are obligated to maintain information about each partner or shareholder in the Register of Partners or Shareholders. Any changes to the Register must be updated and registered within 15 days of their occurrence.
The Register must include:
- The number of shares or equity interests held by each partner or shareholder, their categories, and related voting rights.
- The date on which the partner or shareholder acquired their status.
- For individuals: full name, nationality, address, place of birth, as well as the name and address of the employer, along with a copy of their identification document or travel document.
- For legal entities: the information specified in paragraph (1) of Article (4) of this Resolution.
Failure to comply with the provisions of the Resolution may result in administrative penalties as determined by a Cabinet decision.
Key Reporting Dates Notification (UAE) – Throughout the Year
- Your Company’s Incorporation Date
In the UAE, your company’s incorporation date is associated with the following tasks:
- Business License Renewal
- Visa and Emirates ID Renewal
- Preparation of Annual Financial Statements and Audit
- Company’s Financial Year End Date
- The end of your company’s financial year determines the deadline for filing your tax return.
- The first financial year in the UAE can range from 6 to 18 months after the company’s registration.
- Annual General Meeting (AGM)
This date is also important for holding the Annual General Meeting of shareholders, which must take place within 9 months of the end of the financial year.
- Dates of Changes to Company Documents
In the event of changes to the passport, residential address, or name of the company’s authorized representatives, the Companies Registry must be notified within 15 days of the change. Changes to directors or their resignations must also be reported within 15 days, and changes must be made to the Register of Ultimate Beneficial Owners (UBOs).
We provide secure storage and regular updates of your company’s documents in a protected cloud storage system. You receive 24/7 access to your documents via a provided link, allowing you to download them for business purposes at any time.
Renew your lease agreement and register it in the Ejari system (or a similar system in the relevant emirate) to ensure the legality of your office space. For most mainland UAE licenses, a registered lease agreement is a mandatory requirement. The absence of a valid lease agreement makes it impossible to renew your business license, so it’s recommended to address lease matters well in advance of the license renewal date.
Government agencies and banks in the UAE send official notices to your company’s registered address. By law, this address serves as the primary point of contact between government authorities and your company. Therefore, it’s crucial to receive all notices promptly and respond to them efficiently to ensure compliance with all requirements and avoid potential penalties or operational delays.
Renewing your Emirates ID has several important aspects:
- Access to Government Services: A valid Emirates ID is required to access a wide range of government services.
- Banking Transactions: Banks in the UAE can only serve residents, and maintaining this status is critical for maintaining an active bank account.
- HR Processes: Employees need an up-to-date Emirates ID for processes like medical insurance and payroll. Do not allow the expiration to avoid losing labor benefits.
- Residency Renewal: The Emirates ID is required for residency renewal. Failure to renew may entail negative consequences.
- Government fees are paid separately.
- Immigration fees are not included.
The business license issued by the Dubai Department of Economic Development (DED) is an official document that grants a company or entrepreneur the right to conduct a specific type of business in Dubai.
This document certifies that the business complies with all local laws and regulations, allowing it to legally operate.
The license may include various types of activities such as trade, services, industrial production, and others, depending on the nature of the business. Typically, the license is valid for one year, and annual renewal is required to legally continue operations in Dubai.
Ejari is a digital platform for registering real estate lease agreements in Dubai, managed by the Dubai Land Department (DLD). It was created to simplify and standardize the rental process, ensuring transparency and protecting the interests of both tenants and landlords. Registration through Ejari is mandatory and allows you to formalize an official lease agreement recognized by government authorities.
The platform also helps resolve disputes and provides access to various government services related to property rentals. A lease agreement is usually signed for one year, after which it must be either renewed or re-signed and registered again in the Ejari system.
The Certificate of Membership in the Dubai Chamber of Commerce and Industry is an official document confirming a company’s membership in the organization. It certifies that the company is registered and recognized by the Chamber, granting access to business networks, exhibitions, conferences, and consultations on business-related matters.
This certificate is often required for conducting commercial activities and entering into business agreements in the region. It is issued for one year and must be renewed annually.
The extract from the commercial register is not updated annually, but it contains all current registry data of the company at the time of renewal. This document is provided upon request by the Dubai Department of Economic Development (DED).
